65WEST AI IMAGE GENERATOR (ZT/K2)
END USER LICENSE AGREEMENT AND TERMS OF USE

Agreement Version: Public-Demo-ZT-K2-2026-09-30.1
Effective Date: September 30, 2026

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY. BY CHECKING THE ACCEPTANCE BOX
AND CONTINUING WITH INSTALLATION, OR BY INSTALLING, ACCESSING, OR USING THE
SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT
INSTALL OR USE THE SOFTWARE.

This End User License Agreement and Terms of Use ("Agreement") is between you
("you" or "User") and 65West LLC, a Texas limited liability company
("65West," "we," "us," or "our"), concerning 65West AI Image Generator (ZT/K2),
including its launcher, installer, application code, documentation, updates,
and 65West-supplied supporting files (collectively, the "Software").

1. ELIGIBILITY AND ELECTRONIC ACCEPTANCE

You represent that you are at least 18 years old and have the legal capacity to
enter into this Agreement. If you install or use the Software for a business or
other organization, you represent that you are authorized to bind that entity,
and "you" includes that entity.

Checking the acceptance box and selecting "Accept and Continue" constitutes
your electronic acceptance of this Agreement. The installer may store the
Agreement version, a cryptographic hash of the accepted text, and the date and
time of acceptance on the computer. You may review the Agreement before
accepting and may retain a copy from the Software package.

2. LICENSE GRANT

Subject to this Agreement, 65West grants you a limited, non-exclusive,
non-transferable, non-sublicensable, revocable license to install and use the
Software solely for lawful personal or internal business purposes. Demo use
does not require a product key. A purchased perpetual license may be active on
up to two devices at the same time and may be deactivated for transfer.

The Software is licensed, not sold. 65West and its licensors retain all right,
title, and interest in the Software and all associated intellectual property,
except for rights expressly granted in this Agreement.

3. DEMO AND COMMERCIAL LICENSING

Demo mode is fully functional, but the Software applies a translucent tiled
65West watermark to every completed, displayed, preserved, and saved image.
A valid purchased license removes that watermark only from future generations;
it does not alter images created previously in Demo mode.

Activation, online validation, signed offline authorization, deactivation,
refund, dispute, and revocation status may be enforced through the 65West
licensing service. You may not evade, remove, falsify, disable, interfere with,
or circumvent watermark, activation, validation, device-identification, or
entitlement controls. Reinstallation does not create a new entitlement.

4. PERMITTED OUTPUT USE

Subject to this Agreement, applicable law, and applicable third-party rights or
licenses, 65West does not restrict you from using images you generate with the
Software for lawful personal or commercial purposes.

AI-generated output may not be unique, and other users or systems may generate
similar output. Laws concerning authorship, copyrightability, ownership,
publicity rights, privacy, trademarks, and AI-generated material vary by
jurisdiction and continue to develop. 65West does not represent or warrant that
any output is copyrightable, registrable, unique, non-infringing, accurate, or
free of third-party rights. You are solely responsible for reviewing output and
obtaining any permissions, licenses, releases, or legal advice needed for your
intended use.

5. USER CONTENT, MODELS, AND RESPONSIBILITY

You are responsible for all prompts, reference images, face images, models,
VAEs, LoRAs, checkpoints, wildcards, and other materials you provide, install,
or use with the Software ("User Content"). You represent that you have all
rights and permissions necessary to use User Content and to create, retain,
publish, distribute, or commercially exploit resulting output.

You are solely responsible for evaluating third-party model and content
licenses. Compatibility with the Software does not grant permission to use a
third-party model, dataset, likeness, trademark, copyrighted work, or other
material. 65West does not endorse and is not responsible for third-party
content selected or installed by you.

6. PROHIBITED USE

You may not use the Software or its output to:

(a) violate any law, regulation, court order, contractual duty, or third-party
right;

(b) create, possess, distribute, or facilitate child sexual abuse material or
any sexualized depiction of a person under 18, whether real or fictional;

(c) create or distribute nonconsensual intimate imagery, sexual exploitation,
harassment, stalking, threats, or material intended to facilitate violence;

(d) impersonate another person, commit fraud, deceive the public about a
material fact, or create misleading synthetic media for unlawful purposes;

(e) use a person's face, identity, voice, likeness, private information, or
publicity rights without authorization where authorization is legally required;

(f) infringe copyright, trademark, trade-secret, privacy, publicity, or other
rights;

(g) develop malware, evade security protections, gain unauthorized access, or
interfere with systems, networks, services, or other users;

(h) make decisions in employment, housing, credit, insurance, healthcare, law
enforcement, education, or another high-impact field without legally required
human review, disclosures, testing, and safeguards; or

(i) represent AI-generated output as verified fact, professional advice, or an
authentic record when doing so could foreseeably cause harm.

7. RESTRICTIONS ON THE SOFTWARE

Except to the extent a restriction is prohibited by applicable law, you may
not: copy or redistribute the Software as a competing product; sell, rent,
lease, sublicense, host, or provide the Software as a service to third parties;
remove proprietary notices; reverse engineer, decompile, or disassemble the
Software; modify the Software to bypass restrictions; or use 65West names,
logos, or branding without written permission.

You may make a reasonable archival backup for your own authorized use. You may
not distribute 65West executables, proprietary source files, or branded
installers without written authorization.

8. THIRD-PARTY COMPONENTS AND SERVICES

The Software interoperates with or may download open-source and third-party
components, models, runtimes, drivers, repositories, and services. Those items
may be governed by separate licenses and terms. Their notices and licenses
control with respect to those components. Nothing in this Agreement expands a
third party's license or transfers third-party intellectual property to you.

Third-party services, download locations, APIs, models, and dependencies may be
changed, restricted, interrupted, or discontinued without 65West's control.
65West is not responsible for third-party availability, conduct, content,
security, licensing terms, or changes.

9. LOCAL PROCESSING AND NETWORK ACCESS

Image generation is designed to occur locally on your computer. The Software
may access the network to download runtimes, dependencies, models, updates, or
supporting files and to activate, validate, refresh, or deactivate a license.
Licensing requests may transmit a machine-derived identifier or hash,
application version, license key, activation instance name, and activation
instance identifier. Protected entitlement data is stored locally. The
licensing client is not designed to transmit prompts or generated images as
part of ordinary activation or validation. Websites and third-party services
may be governed by separate privacy policies and terms.

10. SYSTEM REQUIREMENTS AND OPERATION

You are responsible for compatible Windows hardware, an appropriate NVIDIA GPU
and driver where required, adequate memory and storage, network access for
required downloads, backups, electrical stability, and safe
operation of your computer. Performance and output depend on hardware, drivers,
models, prompts, settings, and third-party components.

The Software may create large downloads, use substantial GPU, CPU, memory, and
storage resources, and generate output that is unexpected, inaccurate,
offensive, incomplete, or unsuitable. Review output before relying on or
publishing it.

11. UPDATES, SUPPORT, AND CHANGES

65West may provide updates, repairs, replacement files, or documentation but is
not obligated to provide any particular update, feature, model, compatibility,
or support period unless separately agreed in writing. Updates may modify or
remove features to address security, licensing, legal, compatibility, or
technical requirements. Updated terms may require new acceptance.

12. FEEDBACK

If you voluntarily provide suggestions or feedback, you grant 65West a
worldwide, perpetual, irrevocable, royalty-free right to use and incorporate
that feedback without restriction or compensation, provided this does not
transfer ownership of your private User Content or generated images.

13. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, DOCUMENTATION,
THIRD-PARTY COMPONENTS, AND OUTPUT ARE PROVIDED "AS IS" AND "AS
AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. 65WEST
DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT,
ACCURACY, QUIET ENJOYMENT, SECURITY, AVAILABILITY, AND RESULTS.

65WEST DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED,
COMPATIBLE WITH EVERY MODEL OR COMPUTER, SECURE AGAINST EVERY THREAT, OR THAT
OUTPUT WILL MEET YOUR EXPECTATIONS OR BE LAWFUL FOR YOUR INTENDED USE. SOME
JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME EXCLUSIONS MAY
NOT APPLY TO YOU.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 65WEST AND ITS OWNERS, OFFICERS,
EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE
LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE
DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR USE; COMPUTER OR
MODEL DAMAGE; THIRD-PARTY CLAIMS; OR COSTS OF SUBSTITUTE GOODS OR SERVICES,
ARISING FROM OR RELATED TO THE SOFTWARE, OUTPUT, OR THIS AGREEMENT, EVEN IF
ADVISED THAT SUCH DAMAGE IS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF 65WEST
FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL
NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID 65WEST FOR THE SOFTWARE DURING
THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $25.00.

THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW AND
DO NOT LIMIT LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.

15. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold
harmless 65West and its owners, officers, employees, contractors, affiliates,
and licensors from claims, damages, liabilities, judgments, settlements,
penalties, losses, and reasonable costs (including attorneys' fees) arising
from your User Content, output, violation of this Agreement, unlawful use, or
infringement or violation of another person's rights.

16. TERMINATION

This Agreement and your license terminate automatically if you materially
breach this Agreement. Upon termination, you must stop using and delete the
Software, except for copies that applicable law requires you to retain. Terms
that by their nature should survive termination—including ownership,
restrictions, disclaimers, liability limits, indemnification, and dispute
terms—will survive.

17. GOVERNING LAW AND DISPUTES

This Agreement is governed by the laws of the State of Texas, without regard to
conflict-of-law principles. Subject to applicable consumer-protection law, the
state and federal courts located in Texas will have exclusive jurisdiction over
disputes arising from this Agreement, and you consent to their personal
jurisdiction. The United Nations Convention on Contracts for the International
Sale of Goods does not apply.

Before filing a claim, each party agrees to provide written notice describing
the dispute and allow 30 days for a good-faith attempt to resolve it, unless
immediate relief is reasonably necessary to protect intellectual property,
security, confidential information, or prevent irreparable harm.

18. EXPORT AND SANCTIONS COMPLIANCE

You may not use, export, re-export, transfer, or provide the Software in
violation of United States export-control, sanctions, or import laws. You
represent that you are not prohibited from receiving the Software under
applicable law.

19. GENERAL TERMS

This Agreement and any purchase terms presented by 65West constitute the entire
agreement concerning the Software and supersede prior discussions on that
subject. If a provision is unenforceable, it will be modified to the minimum
extent necessary and the remaining provisions will remain effective. Failure
to enforce a provision is not a waiver. You may not assign this Agreement
without 65West's written consent; 65West may assign it in connection with a
merger, reorganization, asset transfer, or by operation of law. Headings are for
convenience only.
